An institutional approach

The importance of securities law compliance

An EB-5 transaction features the purchase and sale of a security, where the purchaser of the security gains the opportunity—under certain circumstances—to obtain a green card. An offering that runs afoul from US securities laws could create significant liability for all the professionals associated with an EB-5 offering. For an EB-5 investor, this lack of securities law compliance is problematic because it could compromise the immigration benefits anticipated to be associated with an EB-5 investment.
